Harvest Table POS License & Service Agreement

Effective Date: September 12, 2026 · Last Updated: September 12, 2026

This Harvest Table POS License & Service Agreement (“Agreement”) governs access to and use of Harvest Table POS software, services, implementation assistance, support, and related offerings (“Services”).

The customer identified on an applicable Order Form, quote, invoice, or other ordering document (“Order Form”) is referred to as “Customer.”

By purchasing, accessing, or using the Services, Customer agrees to this Agreement and the applicable Order Form.

1. License

Subject to payment of applicable fees and compliance with this Agreement, Angel Software grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to use Harvest Table POS during the applicable license term for Customer's internal business operations at the licensed business location.

Unless otherwise stated on an Order Form, each Harvest Table POS location license contractually permits use on up to three registered POS tablets.

A separate base location license is normally required for each physical business location.

Additional device licenses beyond the three devices included with a location license are available at Angel Software's then-current pricing. The current standard price is $250 per additional tablet per year.

Replacement of a registered tablet does not necessarily require purchasing another license. Angel Software can coordinate transfer of an existing entitlement to an approved replacement device.

2. Plans

Angel Software currently offers:

Harvest Table Essentials — $2,500 per year per location, plus applicable taxes. Essentials includes a twelve-month Harvest Table POS location license with a contractual allowance for up to three registered tablets, initial White Glove Launch, updates, and standard support. Customer supplies approved hardware.

Harvest Table Complete — starting at $3,500 for the first year per location, plus applicable taxes. Complete includes a twelve-month Harvest Table POS location license with a contractual allowance for up to three registered tablets, initial White Glove Launch, and one starter POS hardware package as identified on the applicable Order Form.

The standard Complete hardware package is intended for one physical POS station and may include:

  • One Harvest Table POS-approved Samsung tablet
  • One compatible tablet stand
  • One Harvest Table POS-approved thermal receipt printer
  • Standard required power/connection accessories
  • One compatible Square payment device when required for Customer's supported Square payment configuration

The inclusion of three software device licenses does not mean that Complete includes hardware for three POS stations.

The invoice identifies the supplied hardware before payment. The initial 50% deposit covers that hardware as part of the agreed order total; the remaining 50% is due at the first scheduled launch session. There is no separate hardware deposit. Hardware included on the accepted invoice or Order Form is itemized before payment.

Additional hardware is sold separately unless expressly included on the Order Form.

Complete renews at the software-only location rate, currently $2,500 per year per location, plus additional tablet licenses and applicable taxes. Renewal does not include new hardware or a repeat of the initial White Glove Launch package unless separately quoted and accepted.

Current website pricing is informational. The applicable Order Form establishes Customer's actual price, hardware, services, device quantities, and initial license term.

3. White Glove Launch Service

Eligible Harvest Table POS plans include White Glove Launch Service.

Services may include:

  • Pre-launch consultation
  • Location/account configuration
  • Initial product or item setup assistance within the scope and input format stated in the Order Form
  • Configuration of up to three licensed POS tablets
  • Supported printer configuration
  • Square integration assistance
  • Employee and administrator setup assistance
  • Register workflow configuration
  • Transaction testing
  • Pre-launch review
  • Two scheduled launch days of up to eight service hours each, for up to sixteen total service hours

By mutual scheduling agreement, each launch day may be divided between morning/opening and evening/closing sessions. For example, four opening hours and four closing hours may be scheduled on one day. Breaks and unscheduled gaps are not service hours, and split sessions do not provide continuous all-day coverage.

Agreed launch sessions may occur outside ordinary weekday support hours. Additional hours or days are separately quoted and require Customer approval.

Customer must timely provide accurate product, pricing, tax, employee, payment-processing, networking, and other information reasonably necessary for implementation. Extensive data cleanup and ongoing catalog work are not included unless expressly listed in the Order Form.

The Order Form must state launch dates, remote or on-site delivery, any included on-site area, and approved travel, lodging, transportation, or shipping charges before payment. Schedule changes are made by mutual written agreement, and additional costs require prior agreement.

4. Customer Responsibilities

Customer is responsible for:

  • Maintaining accurate account information
  • Protecting usernames, passwords, and administrative credentials
  • Controlling employee access
  • Maintaining reliable internet and local networking
  • Using supported hardware and software
  • Maintaining required Square or other third-party accounts
  • Configuring accurate prices, tax settings, products, and business information
  • Complying with applicable laws and regulations
  • Maintaining legally required business records
  • Reviewing transactions and reports for accuracy
  • Promptly notifying Angel Software of suspected unauthorized access

Customer is responsible for activity performed using Customer's authorized accounts unless caused by Angel Software's failure to meet its obligations under this Agreement.

5. Square and Third-Party Services

Angel Software may integrate with Square and other third-party services.

Square is an independent third-party payment processor. Customer's Square merchant account is maintained directly with Square and is subject to Square's separate terms, eligibility requirements, processing fees, hardware requirements, policies, and service availability.

Square processing fees, chargebacks, disputes, merchant-account charges, and similar costs are not included in Angel Software licensing fees unless expressly stated otherwise.

Angel Software does not control Square's merchant approvals, processing rates, funding schedules, account decisions, network availability, or other independent services.

Angel Software is not a bank, acquiring bank, or card network.

6. Payment Card Information

Harvest Table POS is designed to use supported payment integrations rather than directly storing sensitive payment authentication information.

Customer remains responsible for applicable merchant and PCI DSS obligations associated with Customer's environment, business, hardware, networks, and third-party payment services.

Customer must not intentionally enter full payment-card numbers, CVV/security codes, or other prohibited sensitive authentication data into Harvest Table POS fields not specifically designed and approved for payment processing.

7. Fees and Taxes

Customer agrees to pay fees identified on the applicable Order Form or invoice.

For an initial purchase, 50% of the agreed order total is due at signup and the remaining 50% is due at the beginning of the first scheduled launch training or support session, unless the Order Form states otherwise. The first payment is credited toward the order total and is not an additional fee.

Base-price examples, excluding taxes and add-ons, are $1,250 followed by $1,250 for Essentials and, for Complete starting at $3,500, $1,750 followed by $1,750. Exact invoiced installments reflect the accepted quote, itemized software, hardware, launch services, approved extras, and applicable taxes.

These installments do not create a monthly payment plan or authorize automatic charges. Any hardware supplied by Angel Software is identified on the invoice before payment, covered by the initial 50% deposit as part of the agreed order total, and there is no separate hardware deposit.

Unless expressly stated otherwise, prices exclude applicable sales, use, transaction, excise, and similar taxes.

Payment-processing fees, additional hardware, shipping, travel, third-party services, and custom development are separate unless expressly included.

8. License Term and Renewal

Harvest Table POS licenses are generally sold for twelve-month terms. The initial term begins on the first launch training day unless another start date is stated in the Order Form.

Angel Software currently uses manual annual renewal unless an Order Form expressly provides otherwise.

Renewal reminders are sent through the Customer's account contact channels. Renewals are invoiced separately and payable before the next term begins unless otherwise agreed.

Complete renews at the software-only location rate, currently $2,500 per year per location, plus additional tablet licenses and applicable taxes. Renewal does not include new hardware or a repeat initial launch package unless separately agreed.

Renewal is not a lifetime price lock. Any future price change will be disclosed in the renewal quote before Customer accepts it.

9. Expiration and Grace Period

Angel Software and Customer may agree to a discretionary grace period of up to 30 days following license expiration to allow Customer to resolve renewal. A grace period is not automatic or guaranteed.

Any restriction following expiration is subject to the Agreement, the Order Form, applicable law, and reasonable notice through Customer's account contact channels. This section does not represent that renewal notices or restrictions are automated.

10. Cancellation and Refunds

Cancellation before implementation begins is governed by the accepted Order Form and applicable law. The initial 50% payment is credited toward the order and is not automatically characterized as non-refundable.

After work or delivery begins, earned implementation charges, custom services, approved travel or shipping, third-party charges, and delivered hardware may be non-refundable to the extent stated in the Order Form and permitted by law. Hardware warranty rights and Customer's nonwaivable legal rights are preserved.

If Angel Software terminates paid Services without cause, Angel Software will provide a prorated refund of unused prepaid software fees, calculated from the separately itemized software amount.

11. Hardware

Hardware included with or purchased through Angel Software becomes Customer's property after full payment unless the Order Form expressly states otherwise.

Third-party hardware may be subject to manufacturer warranties.

Angel Software may assist with diagnosis and warranty coordination but does not extend a manufacturer's warranty unless Angel Software expressly provides a separate written warranty.

Accidental damage, theft, loss, liquid damage, misuse, unauthorized modification, and damage outside applicable warranty coverage are not included as free replacements.

12. Customer Data

As between Angel Software and Customer, Customer retains ownership of Customer's business data submitted to Harvest Table POS (“Customer Data”).

Customer grants Angel Software the limited rights necessary to host, process, transmit, secure, maintain, troubleshoot, and provide the Services, including available backup or recovery functions of the location's configured hosting environment.

Backup and recovery capabilities depend on the hosting configuration for the location. Unless expressly documented in an Order Form, no specific backup frequency, retention period, recovery time or recovery point is promised. Available report exports are not a complete backup of the location database or uploaded files. Customers should retain copies of records they must keep.

Angel Software does not acquire ownership of Customer Data merely because Customer uses Harvest Table POS.

13. Data Export and Termination

Contact Angel Software within 30 days after expiration or termination to request assistance obtaining supported business records. Available self-service report exports cover the displayed data; additional export scope and secure delivery are coordinated with support. Requests received within this window will be handled before routine deletion of the requested records, subject to legal and security requirements. This does not promise continuous login access or a complete automated database export.

Email info@montyohana.net about a business records request

Retention and deletion remain subject to applicable legal obligations, security requirements, service-provider backup processes, dispute requirements, and the Privacy Policy. No specific deletion schedule is promised.

Customer remains responsible for maintaining copies of records Customer is legally required to retain.

14. Angel Software Intellectual Property

Angel Software and its licensors retain all rights in Harvest Table POS, including software, source code, designs, interfaces, trademarks, documentation, workflows, databases, improvements, and related intellectual property, excluding Customer Data and third-party materials.

Customer may not copy, reverse engineer, resell, sublicense, circumvent licensing controls, or attempt unauthorized access to Harvest Table POS systems except where such restriction is prohibited by applicable law.

15. Feedback and Feature Requests

Customer may provide suggestions and feature requests.

Angel Software may consider general suggestions for its product roadmap without creating an obligation to implement them.

Customer-specific integrations, workflows, reports, customizations, or development may require a separate quote or Statement of Work.

16. Software Updates

Supported software, maintenance, security, and compatibility updates are generally included during an active license term.

Angel Software may modify the Services over time to improve security, functionality, reliability, compliance, or compatibility.

Optional products, premium functionality, third-party services, and major add-on offerings may be priced separately.

17. Acceptable Use

Customer may not use Harvest Table POS to:

  • Violate applicable law
  • Circumvent licensing or security controls
  • Introduce malicious software
  • Attempt unauthorized system access
  • Interfere with service availability
  • Access another customer's information without authorization
  • Use the Services to facilitate fraudulent transactions
  • Resell or sublicense Harvest Table POS without written authorization

18. Suspension

Angel Software may suspend access when reasonably necessary to address:

  • Material nonpayment
  • Security threats
  • Fraud or suspected abuse
  • Legal requirements
  • Material violations of this Agreement
  • Conduct that threatens Harvest Table POS systems or other customers

When reasonably possible, Angel Software will attempt to provide notice and an opportunity to resolve the issue.

19. Service Availability

Angel Software works to maintain reliable service but does not currently promise a specific percentage uptime SLA unless expressly stated in a separate written agreement.

Availability may be affected by maintenance, internet providers, Square, cloud providers, third-party systems, device failures, customer networks, emergencies, or circumstances outside Angel Software's reasonable control.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, except for warranties expressly provided in writing, the Services are provided “as is” and “as available.”

Angel Software does not warrant uninterrupted or error-free operation or that every third-party service, device, or integration will remain available indefinitely.

Nothing in this Agreement excludes warranties or rights that cannot legally be excluded.

21. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from this Agreement, including lost profits or lost business opportunities, except where such limitation is prohibited by law.

Angel Software's aggregate liability arising from the Services will not exceed the fees paid by Customer to Angel Software for the affected Services during the twelve months preceding the event giving rise to the claim, except where applicable law prohibits such limitation.

22. Indemnification

To the extent permitted by law, Customer agrees to defend and indemnify Angel Software against third-party claims resulting from Customer's unlawful use of the Services, Customer's products or business practices, Customer's violation of law, or Customer Data supplied by Customer, except to the extent caused by Angel Software.

23. Force Majeure

Neither party will be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, widespread internet or telecommunications failures, governmental actions, labor disruptions, war, civil emergencies, utility failures, or major third-party infrastructure failures.

24. Governing Law

Unless the applicable Order Form states otherwise, this Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles.

25. Changes

Angel Software may update these terms prospectively.

Material changes affecting an active paid license will be handled in accordance with applicable law and the applicable Order Form.

26. Order of Precedence

If documents conflict, the following order applies unless expressly agreed otherwise:

  1. Signed Order Form or Statement of Work
  2. Harvest Table POS License & Service Agreement
  3. Applicable Support & Service Level Policy
  4. Supported Hardware & System Requirements Policy
  5. Other incorporated policies

Privacy practices are additionally governed by the Harvest Table POS Privacy Policy.

27. Contact

The legal service provider and billing identity for a purchase will be identified in the applicable Order Form.
